1. Acceptance of Terms

By accessing or using Shepherdly ("the Service"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these terms.

2. Description of Service

Shepherdly is a ministry management platform providing tools for sermon preparation, member directory management, team communication, task management, and related church administration features.

3. Account Responsibilities

• You must provide accurate and complete registration information
• You are responsible for maintaining the security of your account credentials
• You must notify us immediately of any unauthorized account access
• Church administrators are responsible for managing user roles and permissions within their workspace

4. Acceptable Use

You agree not to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Upload malicious code or attempt to compromise system security
• Share your account credentials with unauthorized users
• Use the Service to harm, harass, or discriminate against others
• Attempt to access other users' data without authorization

5. Data Ownership

You retain ownership of all content you create and upload to Shepherdly. By using the Service, you grant us a limited license to host, store, and process your content solely for providing the Service. We do not claim ownership of your sermons, member data, or other church content.

6. AI Features

Shepherdly includes AI-assisted features for sermon preparation and other tasks. AI outputs are suggestions only and should be reviewed before use. We are not responsible for the accuracy, appropriateness, or theological correctness of AI-generated content. You remain responsible for all content you publish or share.

7. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may perform maintenance, updates, or modifications that temporarily affect service availability. We will provide advance notice for planned maintenance when possible.

8. Termination

You may cancel your account at any time. We may suspend or terminate accounts that violate these terms. Upon termination, your right to use the Service ceases immediately. You may request an export of your data before account deletion.

9. Limitation of Liability

To the maximum extent permitted by law, Shepherdly and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill arising from your use of the Service.

10. Indemnification

You agree to indemnify and hold harmless Shepherdly from any claims, damages, or expenses arising from your use of the Service, your violation of these terms, or your violation of any rights of third parties.

11. Changes to Terms

We may modify these terms at any time. We will notify you of material changes via email or in-app notification at least 30 days before they take effect. Continued use of the Service after changes become effective constitutes acceptance of the new terms.

12. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.
